Major General Robert Harding, USA (Ret.), President and CEO:
General Harding’s 33 years of military service included assignments as
the deputy to the Army's Chief of Intelligence, as the director for operations in the Defense Intelligence Agency— where he was responsible for
the Department of Defense Attaché System and the Defense Human Intelligence Service (DHS)— and as the commander of the Army's only
organization focused on homeland security. He most recently served as the executive vice president for operations at a medium-sized
logistics and supply-chain security company. He has extensive experience running global operations as well as providing security for sensitive
national programs, facilities and technologies.

Constance Bernard, Senior Vice President, Administration:
Connie Bernard joined HSA after a 25-year corporate career. She has managed efforts in
diverse industries ranging from engineering, marketing/communications, commercial real estate to healthcare and telecommunications, both in
the United States and abroad. Prior to joining Harding Security Associates, Connie held the position of executive coordinator for homeland
security with a medium-sized defense contractor. Previously she served as senior manager in several telecommunications companies in the
Northern Virginia area, as well as an international marketing and communications coordinator with global responsibilities for business
development and expansion.

Michael Bisacre, Senior Vice President, Operations:
Mike Bisacre joins HSA with over 26 years of military service, bringing his extensive all-source
and counterintelligence experience, from the tactical to the strategic level. He was the deputy commander of the Army’s Intelligence and
Security Command, where he was the key player in standing up theater-specific Joint Information Operations Centers worldwide. As the
commander of the elite 902d Military Intelligence Group, he established a reputation throughout the U.S. Government as the Army’s premier
counterintelligence officer. His assignments with NSA and the Joint Staff, and as a division G-2 officer, make Mike a true all-source intelligence
professional. He brings innovative solutions to our diverse customer base as we support the global war on terrorism.

Michael Egerer, Chief Financial Officer:
Mike Egerer became a part of the HSA team in January 2007. Before joining HSA, Mike was the
CFO of New Technology Management, Inc., a government contractor specializing in security and surveillance technology. He has also served
as CFO for a number of government contractors in the Washington area, specializing in advanced technologies, with clients including the DoJ,
IRS, DoD and civilian agencies. While in these positions, he reshaped and directed all departments with a finance footprint, to include security,
information technology, and human resources. Mike served as an Army officer during the Vietnam era, earning his commission through the
Engineer OCS program at Ft. Belvoir, Virginia. He is a certified public accountant and has earned an M.B.A. from Temple University.

Dan F. Jones, Senior Vice President and General Manager:
Dan Jones brings to HSA more than 30 years of military service, culminating in three diverse
assignments as a Military Intelligence Command sergeant major. Dan has proven success in organizing, training and developing high-
performance teams, using state-of-the art intelligence collection and analysis systems and techniques in time-sensitive, high-pressure
environments. His diverse background includes Imagery Intelligence, Signals Intelligence, multi-disciplined counterintelligence, and all-source
intelligence analysis and production from the tactical to national levels. Dan is a seasoned manager and developer of highly skilled technical
and support personnel ranging from small groups to organizations exceeding 1,000 personnel.

Michael Zembrzuski, Senior Vice President, Corporate Development:
Mike Zembrzuski has over 20 years of counterintelligence, counterterrorism, protective
services and foreign area officer experience. A former commander of the Army’s premier counterintelligence battalion in CONUS, Mike led the
Army effort to integrate missions with the FBI’s Joint Terrorism Task Forces. He is an acknowledged expert in the areas of homeland security
and technology protection and has extensive experience at the highest levels of the U.S. Government. His overseas experience is remarkable,
with deployments to Afghanistan, Bosnia, Croatia, Guantanamo, and Iraq, along with service throughout Europe. Mike is a tremendous asset
to HSA, a company dedicated to serving the needs of the nation.

Stephen Cundari, Vice President, Corporate Strategy:
Stephen Cundari has over 26 years of military and corporate experience, to include
security and intelligence expertise in the Middle East, Asia, Europe, and Central America. He managed special operations in the Middle East
Peninsula supporting Operations Iraqi Freedom and Enduring Freedom and assisted in the development of DoD Information Operations Policy.
He has provided critical support to key Computer Network Operations, Psychological Operations, and Electronic Warfare programs. Stephen's
anti-terrorism and force protection experience is broad, and his corporate leadership experience includes management of highly successful
security and intelligence programs supporting OSD, USASOC, NCIS, OSD, Treasury, DIA, and other Government agencies.

Karen Esaias, Vice President, Operations:
Karen Esaias joins HSA with 27 years of military service in the United States Air Force. Her last military assignment was as the vice commander of the Air Force Office of Special Investigations, headquartered at Andrews Air Force Base, Maryland, supporting military commanders at more than 200 locations worldwide. As a result of that position and previous command and staff assignments, she brings diverse expertise in counterintelligence, antiterrorism, technology protection and federal law enforcement.

Don A. Fox, Vice President, Homeland Security Activities:
Don brings more than 26 years of military service with a strong background in strategic counterintelligence and human intelligence operations. He completed his final military assignment as the senior representative for the Army’s Intelligence and Security Command at the Army Intelligence Center in Fort Huachuca, Arizona, where he facilitated the development of information operations and full-spectrum ISR training and doctrine. Don also served as the chief of Field Operating Base - Korea under the DIA Defense HUMINT Service, where he solidified productive relations with host-country counterparts that were instrumental to the successful conduct of myriad sensitive bilateral HUMINT operations. His extensive and multi-leveled expertise is a tremendous asset to the company.

Meri W. Hefferon, Vice President:
Meri brings to HSA more than 22 years' experience as a Federal agent with the Naval Criminal Investigative Service (NCIS), and demonstrated leadership in the intelligence, counterintelligence and law enforcement communities. Her last assignment was as the deputy assistant director for counterintelligence at NCIS Headquarters, where she provided strategic direction to all NCIS field offices worldwide. Meri is an acknowledged expert in the area of security and technology protection and was the key player in teaming with industry to protect industrial sites and laboratories involved in the development of Navy critical and sensitive technologies. She also developed a comprehensive plan to support Navy special access programs that was instrumental in maximizing NCIS resources while leveraging community capabilities.

Bryon S. Line, Vice President, Counterintelligence Activities:
Bryon Line brings more than 25 years of signals, special operations and CI
experience to Harding Security Associates. A former director of operations for the 902d MI Group and Army representative to Defense CI
Requirement Panel, Bryon has extensive experience developing innovative CI mission management and supporting IT solutions. He also brings
broad experience with DOD-, joint-, and service-level CI and acquisition planning and POM budget development, intelligence campaign planning,
NORTHCOM CI requirements, USD(I) CI mission organization, CI collection management, Portico Defense CI Information System, Total Army
Analysis, joint CI procedures, and numerous intelligence, counterintelligence and information operations activities.

Julie Merchant, Vice President, Biometrics:
Julie M. Merchant joined the HSA team as the Biometrics/Identity Solutions subject matter expert after a 23-year career as a Department of the Army civilian intelligence professional. As a scientific and technical intelligence specialist, Julie brings a wealth of experience in intelligence support to acquisition, support to tactical operations, and international and NATO intelligence activities. Past assignments include the U.S. Army Missile Command, Army Special Operations Command, and the Army National Ground Intelligence Center, as well as a civilian deployment in support of Operation Desert Storm. Her most recent assignment was as the architect and executor of the Army's Biometric Intelligence Project in Charlottesville.

J. Warren Russell, Vice President, Department of Defense Activities:
Warren Russell’s 29 years of military service with joint, overseas and
command assignments have prepared him to tackle pressing national security issues. He served as the deputy commandant for futures at the
Army’s Intelligence Center, as the deputy director of intelligence at U.S. Central Command during operations in Afghanistan, and as the
commander of the 650th Military Intelligence Group in Belgium. Warren is recognized throughout the intelligence community as a leader with
extensive operational counterintelligence experience, to include the protection of critical national assets, sensitive information operations, and
special access programs. He established a sterling reputation for providing CI support to deployed forces throughout the Balkans.

Terry R. Schmaltz, Vice President:
Terry Schmaltz joins HSA with over 35 years of military and industry experience in engineering, special operations and intelligence activities. He most recently served as deputy commander of the National Ground Intelligence Center, leading numerous high-priority integrated process teams that tackled some of the Army's most critical technical intelligence problems. He was a key coordinator of INSCOM/NGIC's Counter IED Targeting Program (CITP). Other assignments included augmentation to USCENTCOM as a deputy director for intelligence (DJ2), where he directed time-sensitive intelligence targeting, collection and analysis in support of combat operations in the war against terrorism. He is widely recognized by DOD, DOJ, and coalition partners for his technical and analytical expertise in the area of counter-IED programs.

Hubert Reid, Corporate Board Director and Partner:
Hubert Reid served as vice president for transition & acquisition at OAO, Inc. in
Maryland. He is a certified public accountant in the District of Columbia and has over 20 years’ experience in financial and administrative
management, accounting, auditing, and taxation. He holds a B.B.A. in accounting from Howard University. Mr. Reid has served as president
and member of the board of directors of the Metropolitan Washington, D.C. chapter of the National Association of Black Accountants, Inc.
Additionally, he served as secretary to the Board of Governors of the District of Columbia Institute of Certified Public Accountants. He is a
member of American Institute of Certified Public Accountants.
